Additional Terms – Archival Storage Addendum

This Archival Storage Addendum (“Addendum”) is entered into between Nialli Inc. (“Nialli”) and you (“You”) and is effective as of the Effective Date stated above.

This Addendum applies to the archival storage service provided by the Nialli Software. This Addendum constitutes “Additional Terms” as defined in the Nialli Visual Planner Software License and General Terms of Use (“Agreement”) between You and Nialli, which remains otherwise unchanged. Each capitalized term used but not otherwise defined in this Addendum has the meaning ascribed to it in the Agreement. This Addendum constitutes an integral part of the Agreement.

By using the Archival Storage Service (defined below) available in the Nialli Software, you agree to the following:

  1. Nialli is currently providing online archival storage for Your Material (the “Archival Storage Service”) at no additional cost to you. Nialli has no responsibility or liability for the transmission, storage, availability, accuracy or deletion of Your Materials archived using the Archival Storage Service, or the failure to transmit, store, restore, access or receive such Materials. Nialli may change, apply fees for or terminate the Archival Storage Service at any time, at its sole discretion.
  2. You agree that Nialli retains the right to create reasonable limits on the use of the Archival Storage Service, such as limits on file size, storage space, processing capacity and similar limits described in the web pages accompanying the Services and as otherwise determined by Nialli in its sole discretion. Nialli may require you to delete Your Material archived using the Archival Storage Service until you are within the storage space limit associated with your account.
  3. You agree that you, not Nialli, are entirely responsible for all of Your Material archived using the Archival Storage Service. You assume all risks associated with the transmission and storage of Your Material using the Archival Storage Service, including any reliance on its accuracy, completeness, availability or usefulness.
  4. You acknowledge that once Your Material is placed into archival storage using the Archival Storage Service, it is permanently converted into a “read only” format and thereafter cannot be changed in any way. This process cannot be reversed.
  5. You acknowledge that you are solely responsible for compliance with all legal requirements applicable to the archival storage of Your Material using the Archival Storage Service, including without limitation, its retention duration and deletion. You are solely responsible for all access to Your Materials stored using the Archival Storage Service.
  6. You acknowledge and agree that although Nialli endeavors to provide security measures to protect Your Material (including Your Material that you have archived using the Archival Storage Service), Nialli is not liable for any damages resulting from the use of such Service or the corruption, unavailability or disclosure of Your Material.

  7. You acknowledge and agree that if you terminate your Agreement with Nialli, or fail to pay when due the Subscription Fees payable by you, Nialli may terminate your access to Your Materials, including those stored using the Archival Storage Service, and after a period of 30 days may permanently delete Your Materials from storage.
