Nialli Subprocessors

Nialli Inc. ("Nialli," "we," "our," or "us") engages third-party service providers ("Subprocessors") to assist in delivering its websites, products, and cloud services. These Subprocessors may process personal data collected through or in connection with Nialli's Sites and Services.

This page is maintained in accordance with Nialli's Data Processing Addendum (DPA) (https://www.nialli.com/legal/dpa) and applicable data protection laws, including the GDPR and CCPA/CPRA.

Transfer mechanisms are abbreviated as follows: "SCCs" = EU Standard Contractual Clauses (2021); "DPF" = EU-U.S., UK Extension, or Swiss-U.S. Data Privacy Framework (where applicable); "UK Addendum" = UK International Data Transfer Addendum to the EU SCCs. Adequacy decisions may also apply where relevant.

1. Website Subprocessors (nialli.com)

These Subprocessors support the operation, performance, analytics, advertising, and security of nialli.com. They may process personal data collected through form submissions, demo scheduling, chat interactions, cookie consent records, analytics, and advertising activities.

Note on Microsoft technologies: The Microsoft MUID and ANONCHK identifiers are shared between Microsoft Advertising and Microsoft Clarity. These identifiers support advertising validation, identity resolution, and conversion reporting in addition to analytics. Microsoft Clarity requires consent in jurisdictions where consent is required for analytics technologies.

2. Product Subprocessors (Nialli Console and Cloud Services)

These Subprocessors support the delivery, operation, security, and support of Nialli's product platform, including Nialli Console and related cloud services. They may process Customer Personal Data as defined in Nialli's DPA.

This list applies to Nialli's core product cloud services. Specific service deployments may involve additional or different subprocessors. Customers subject to Nialli's DPA may request additional details by contacting PrivacyOfficer@nialli.com.

3. Subprocessors of Our Processors

Some services are provided through third-party processors (such as HubSpot, AWS, or Microsoft Azure) that may themselves engage subprocessors ("sub-subprocessors") to provide elements of their services. Nialli ensures through contractual commitments that such processors maintain equivalent protections for personal data.

4. Change Notifications

We update this page whenever we add, replace, or remove a Subprocessor, or make material changes to a listed service. We provide at least thirty (30) days' prior notice of new or replacement Subprocessors in accordance with Section 5.3 of our DPA.

To receive notifications of changes to this Subprocessors list, please contact PrivacyOfficer@nialli.com and request to be subscribed to Subprocessor change notifications.

Customers subject to Nialli's DPA may object to a new or replacement Subprocessor by notifying Nialli in writing within thirty (30) days of the change notice, as described in the DPA.

5. AI Features of Listed Subprocessors

Many of the Subprocessors listed above offer AI-powered features as part of their platforms. Where such AI features are enabled in connection with Nialli's Sites or Services and involve the processing of personal data, they are subject to the relevant provider's AI and privacy terms. Nialli reviews Subprocessor AI feature configurations to ensure they are consistent with our Privacy Policy, Terms of Use, and Data Processing Addendum commitments.

5.1 HubSpot Breeze AI Suite

All Breeze components are active and are explicitly covered by Nialli's HubSpot DPA. Active components and their data processing scope are as follows:

• Breeze Customer Agent: AI-powered chat assistant on nialli.com. Processes visitor conversation transcripts. Not used for HubSpot model training (Nialli has not opted in). The chat widget discloses AI interaction. Transcripts are retained per Nialli's agreed HubSpot retention settings;
• Breeze Copilot: AI assistant embedded in HubSpot, used by Nialli's team. Processes CRM contact records, deal data, and email history to generate drafts, summaries, and action suggestions for Nialli staff. Does not interact directly with Site visitors;
• Breeze Intelligence: Automated AI data enrichment. Automatically researches and appends firmographic and contact data to CRM records using third-party data sources. Sub-subprocessors for enrichment include Bombora and similar data vendors operating under HubSpot's subprocessor terms. Individuals may request deletion or correction of enriched data via PrivacyOfficer@nialli.com;
• Breeze Prospecting Agent: AI-assisted prospect research and outreach drafting. Draws on CRM data and publicly available sources. Covered under Nialli's HubSpot DPA. For EEA/UK contacts, Nialli relies on legitimate interests and fulfils GDPR transparency obligations at first contact;
• Breeze Content Agent: AI-assisted drafting of blog posts, landing pages, and marketing content for Nialli's team. Does not directly process personal data of Site visitors. Content is reviewed and approved by Nialli staff before publication;
• Breeze Social Agent: AI-assisted scheduling and publishing of Nialli's social media content. Does not process visitor personal data directly.

None of the above Breeze components are used to train HubSpot's AI models on Nialli customer or visitor personal data without opt-in. Nialli has not opted in to such use and will not do so without updating this Subprocessors list and, where required, obtaining appropriate consent.

5.2 Other Subprocessor AI Features

• Microsoft (Clarity, Azure, Advertising): Microsoft offers Copilot and other AI-assisted features integrated into its products. AI features within Microsoft Clarity, Azure, and Microsoft Advertising that may affect personal data processing are subject to Microsoft's AI terms and product privacy documentation;
• Google (Analytics, Ads, reCAPTCHA, Workspace): Google offers AI and machine learning features integrated across its product suite. Use of personal data by Google AI features is governed by Google's AI principles, product terms, and applicable DPA commitments.

Nialli will update this section and the main Subprocessors tables when AI-capable Subprocessors are added or when material changes to Subprocessor AI features affect the processing of personal data. Customers with questions about specific AI feature configurations may contact PrivacyOfficer@nialli.com.
